Real Estate Counsel for Commercial Real Estate Investors

For Investors Who Know Where the Opportunity Is

You've built a track record by recognizing opportunity before the broader market catches on, and moving decisively once you do. Turning that read into a closed transaction means navigating shifting terms, changing lender appetites, and diligence that has to move fast without missing what matters. You need counsel who can spot the issues before they cost you, and protect your position from acquisition through exit.

More About What We Handle

  • Acquisitions and Due Diligence: Purchase and sale agreements, due diligence coordination, title and survey review, and contingency planning for issues that surface late in the process.
  • Capital Structuring and Joint Ventures: Sponsor-investor agreements, preferred equity structures, waterfall provisions, control rights, and exit mechanics.
  • Acquisition and Bridge Financing: Loan negotiation and documentation, mezzanine and preferred equity layering, and coordination with title and equity sources through closing.
  • Portfolio Management and Restructuring: Ongoing counsel on portfolio-level matters and the agreements that shape how a growing portfolio is held and managed.
  • Refinancing: Take-out financing, refinancing of stabilized assets, and restructuring of capital stacks as the portfolio matures.
  • Disposition and Exit Planning: Sale negotiation, 1031 exchange coordination, recapitalization, and structuring of exits that preserve flexibility for what comes next.

Frequently Asked Questions

Answers to the questions clients ask most before they engage us.

What kinds of investors does Vellum Law typically work with?

We work with investors across the spectrum, from private individuals acquiring a single asset to institutional sponsors managing multi-site portfolios. The common thread is sophistication. Our clients understand their own strategy and want counsel who can match that level of understanding.

Do you represent investors on hospitality and mixed-use acquisitions?

Yes. Hospitality and mixed-use are both meaningful parts of our investor practice. We have counseled clients on hotel and resort acquisitions in Florida and beyond, as well as mixed-use assets that combine residential, retail, and office components.

Can Vellum coordinate with our capital partners and their counsel?

Of course. Most institutional transactions involve multiple capital sources and their respective counsel, and we are accustomed to working as part of a broader deal team. We coordinate closely with your capital partners and their advisors throughout the transaction.

What stage of a transaction should we bring you in?

The earlier, the better. Decisions made at acquisition and capital structuring shape everything that follows, and the cost of getting those right at the front end is dramatically lower than the cost of fixing them later. That said, we are happy to come in mid-transaction when needed.

Do you work on out-of-state acquisitions?

Yes. We regularly counsel Florida-based investors on transactions in other states and out-of-state investors on Florida acquisitions. Angelique is licensed in Florida, New York, Georgia, and Washington D.C., and we coordinate with local counsel in other jurisdictions when required.
